Value Driven Solutions is seeking a Financial Due Diligence Consultant for a contract-to-hire operating partner pathway on the CFO and finance track. The role evaluates target-company earnings, cash flow, debt, and liabilities, informs valuation and transaction documents, and establishes post-merger cash forecasting, KPI reporting, and finance integration.

Responsibilities

Build quality-of-earnings analyses: normalize EBITDA and quantify add-backs and one-time items
Examine historical earnings, cash conversion, and net working capital trends; propose a working capital peg
Identify debt and debt-like items, off-balance-sheet obligations, and contingent liabilities
Verify reporting accuracy: revenue recognition, cut-off, reserves, and accounting policies
Tie financial results to operating drivers such as yield, throughput, pricing, and inventory
Stress-test management projections with scenario and sensitivity analysis
Feed findings into the purchase agreement, valuation model, and lender package
After close, set up the 13-week cash forecast, KPI reporting, and finance integration

Skills

7+ years in transaction services, audit, or corporate finance; 3+ years of buy-side or sell-side diligence
Expert Excel and financial modeling; experience with data rooms and analytics tools
Knowledge of US GAAP; IFRS a plus for cross-border deals
CPA or CA strongly preferred; CFA or MBA a plus
Industrial, manufacturing, or PE portfolio company background preferred
