About the position

Grant Thornton is hiring a Transaction Tax Director to lead tax planning, consulting, and compliance work on M&A projects for multiple clients. The role collaborates with the Transaction Tax and Transaction Services teams to plan, execute, and direct engagements, while providing client-focused guidance on tax matters related to mergers, acquisitions, divestments, restructurings, and other transactions. The position is based in Los Angeles, California, with San Francisco, California, as another approved location. Consistent with the firm's hybrid work model, in-person attendance is required at least three days per week at a Grant Thornton office or client site, and travel may be needed. The Director will guide and develop managers, senior associates, and staff; manage engagement expectations and deadlines; analyze client tax attributes and tax limitations; research tax issues; and support client pursuit and priority-account initiatives. The role requires a bachelor's degree in Accounting, substantial federal tax and M&A tax experience, and a CPA or JD with an active law license. A master's degree or LLM in Taxation is strongly preferred.

Responsibilities

  • Assist with buy-side and sell-side tax due diligence; advise on tax-efficient acquisitions, divestments, and restructurings; and review taxes in financial models and transaction documents.
  • Research tax issues, prepare succinct and deal-driven written communications, help clients respond to tax authorities, and assist clients in strategizing on transaction tax matters.
  • Assist Directors with project development, client pursuit initiatives, and management of priority accounts.
  • Analyze client tax attributes related to business events, including tax basis of assets and stock, tax accounting for M&A-driven transaction costs, and corporate earnings and profits.
  • Perform detailed analyses of net operating loss and tax credit carry-forward limitations under IRC Section 382 for private and public clients.
  • Perform other duties as assigned.

Requirements

  • Bachelor's degree in Accounting.
  • Eight to twelve years of progressive federal tax consulting and/or compliance experience in public accounting, or a combination of corporate and public accounting experience.
  • Five to seven years of qualified mergers and acquisitions tax services and/or due diligence experience.
  • CPA or JD with an active law license.
  • Experience with corporate, S-Corporation, and/or partnership returns.
  • Strong analytical, technical, tax accounting, and technology skills, with proficiency in US GAAP, tax compliance, corporate consolidated returns, consolidated federal tax returns, partnership returns, and combined state tax returns.
  • Excellent client service and communication skills, with demonstrated ability to develop and maintain strong client relationships.
  • Computer expertise, including tax software and technology and spreadsheet modeling.
  • Ability to travel as needed.

Nice-to-haves

  • Master's degree or LLM in Taxation.
  • Master's or Ph.D. in Economics, Statistics, Public Policy, Mathematics, Business, Finance, Financial Engineering, Management Science and Engineering, Financial Mathematics, Industrial Engineering, or Operations Research.

Benefits

  • Personalized and comprehensive benefits; details are available on the Grant Thornton careers benefits page.
  • Employees may be eligible for a discretionary annual bonus based on individual and firm performance, subject to applicable plan terms, conditions, and eligibility criteria.
  • Options for work location, weekly schedule, and flex time off, consistent with the firm's hybrid work model.
